These Terms of Service ("Terms") govern your access to and use of SpeedVault's cloud storage services, website, applications, and APIs (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Acceptance of Terms

By registering for, accessing, or using the SpeedVault Service, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, and any additional terms referenced herein. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email at least 14 days in advance. Continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to any modification, you must stop using the Service and close your account before the changes take effect.

2. Description of Service

SpeedVault provides a cloud-based file storage, synchronization, and sharing platform featuring client-side zero-knowledge encryption, global content delivery through our CDN, version history, and collaboration tools. The Service is available through web browsers, desktop applications (macOS, Windows, Linux), and command-line interface (CLI) tools.

SpeedVault reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice to paid subscribers. We will not materially degrade the core functionality of the Service during your active subscription period without offering you the option to cancel with a pro-rata refund.

All features and specifications described on our website are subject to change. The version history feature retains file versions for 30 days (Free and Pro plans) or 90 days (Team plans) from the date of modification, after which older versions are permanently and irrecoverably deleted.

3. Account Registration

You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account.

You must notify us immediately of any unauthorized use of your account or any other security breach by emailing our security team. SpeedVault is not liable for any loss or damage arising from your failure to protect your account credentials.

Due to our zero-knowledge encryption architecture, we cannot recover your password or reset it on your behalf. If you lose your password, you will lose access to your encrypted files. We strongly recommend enabling account recovery options and maintaining local backups.

You may not create accounts programmatically or in bulk without our express written permission. Each individual requires a separate account — shared or group accounts are permitted only on Team plans with named user seats.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in compliance with all applicable local, state, national, and international laws and regulations. You must not:

  • Use the Service to store, transmit, or distribute any content that violates applicable law or these Terms.
  • Attempt to circumvent or bypass any security measure, access control, or rate-limiting mechanism.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of any SpeedVault software, except as permitted by applicable law.
  • Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
  • Use the Service in any manner that could disable, overburden, or impair any SpeedVault server or network.
  • Upload or transmit any viruses, worms, malware, or malicious code.
  • Attempt to probe, scan, or test the vulnerability of any system or network without authorization.

5. Prohibited Content & Activities

Without limiting the generality of Section 4, the following types of content and activities are expressly prohibited on the Service:

  • Illegal Content: Material that violates any applicable law, regulation, or governmental order, including但不限于 child sexual abuse material (CSAM), terrorism-related content, and illegal narcotics.
  • Malicious Software: Viruses, trojans, worms, ransomware, keyloggers, rootkits, or any other software designed to harm or gain unauthorized access to systems.
  • Infringing Content: Material that infringes upon any copyright, trademark, patent, trade secret, or other intellectual property right of any third party.
  • Abusive Content: Material that constitutes harassment, threats, hate speech, defamation, or discrimination based on race, religion, gender, sexual orientation, or disability.
  • Credentials & Personal Data: Distributing stolen credentials, unauthorized access tools, or unlawfully obtained personal data.
  • Cryptomining: Using the Service to mine cryptocurrencies or other digital assets without our prior written consent.

Violation of this policy may result in immediate suspension or termination of your account, removal of prohibited content, and reporting to relevant authorities. We reserve the right to review content where we have a good faith belief that it may violate these Terms, though due to our zero-knowledge architecture, we cannot decrypt or inspect the contents of your files.

6. Payment Terms & Refunds

Free Plan: The Free plan requires no payment information. SpeedVault reserves the right to impose reasonable limits on Free plan usage, including storage capacity, file size, transfer volume, and number of shared links. Current limits are specified on our Pricing page.

Paid Plans: Pro and Team plans are billed monthly or annually as selected during checkout. Annual plans receive a discount of approximately 17% (equivalent to 2 months free). All prices are in US Dollars and are exclusive of applicable taxes unless otherwise stated.

Payment Processing: All payments are processed securely by Stripe, Inc. We do not store full credit card numbers. By providing payment information, you authorize us to charge your selected payment method on the agreed billing cycle.

Refund Policy: We offer a 14-day money-back guarantee on all new paid subscriptions. If you are not satisfied within the first 14 days, contact our billing team for a full refund. After 14 days, refunds are provided on a pro-rata basis for unused service. Refunds are not available for partial billing periods after the initial 14-day window.

Cancellation: You may cancel your subscription at any time from the Billing section in your account settings. Upon cancellation, your paid features remain active until the end of the current billing period. No further charges will be incurred. After the billing period ends, your account will automatically convert to the Free plan with reduced storage limits.

7. Service Availability (SLA)

SpeedVault guarantees 99.99% Service availability for Pro and Team subscribers, calculated on a monthly basis. "Availability" means the Service is accessible and functional for core operations (uploading, downloading, syncing, and sharing files) excluding scheduled maintenance and force majeure events.

Scheduled Maintenance: We will provide at least 48 hours advance notice for any scheduled maintenance that may affect availability, and will schedule such maintenance during off-peak hours (defined as 22:00–06:00 UTC).

Service Credits: If we fail to meet the 99.99% availability commitment in any calendar month, you are eligible for the following service credits, which will be applied to your next billing cycle:

  • 99.0% to 99.99% availability: 5% of the monthly fee
  • 95.0% to 99.0% availability: 10% of the monthly fee
  • Below 95.0% availability: 25% of the monthly fee

To claim a service credit, you must submit a request to our support team within 7 days of the end of the applicable month. Credits are not transferable and cannot be redeemed for cash. Current system status is available at our status page.

8. Intellectual Property

Our IP: SpeedVault, the SpeedVault logo, and all related trademarks, service marks, trade names, and trade dress are the exclusive property of SpeedVault, Inc. The Service, including all software, algorithms, design, and underlying technology, is protected by copyright, patent, and trade secret laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

Your IP: You retain full ownership and intellectual property rights to the files and data you store in the Service. These Terms do not grant us any license to access, use, reproduce, or distribute your files except to the extent necessary to provide the Service (e.g., storing encrypted data, transferring files to your devices, and serving files to your authorized share recipients). Due to our zero-knowledge architecture, we cannot access the content of your files regardless of any license.

Feedback: If you provide us with suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback without compensation or attribution.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SPEEDVAULT DOES NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; (D) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS; OR (E) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.

YOU UNDERSTAND AND AGREE THAT YOU DOWNLOAD OR OTHERWISE OBTAIN MATERIAL OR DATA THROUGH THE USE OF THE SERVICE AT YOUR OWN DISCRETION AND RISK, AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF SUCH MATERIAL OR DATA.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SPEEDVAULT, INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

FOR PRO AND TEAM SUBSCRIBERS, SPEEDVAULT'S TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO SPEEDVAULT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY. FOR FREE PLAN USERS, SPEEDVAULT'S TOTAL LIABILITY SHALL NOT EXCEED $50.00.

This limitation of liability shall apply regardless of the theory of liability, whether in contract, tort (including negligence), strict liability, or otherwise, even if SpeedVault has been advised of the possibility of such damages, and even if any limited remedy fails of its essential purpose.

11. Dispute Resolution & Arbitration

Informal Resolution: Before initiating any formal proceeding, you agree to first contact our legal team to attempt to resolve the dispute informally. Both parties will negotiate in good faith for at least 30 days before pursuing arbitration or litigation.

Arbitration: Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in Delaware, USA, or by video conference at your option if you are an individual user.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted on an individual basis only, and not as a class, consolidated, or representative action. If a court or arbitrator determines that this class action waiver is unenforceable, the arbitration agreement shall be deemed void and the dispute shall proceed in court.

Opt-Out: You may opt out of this arbitration agreement within 30 days of accepting these Terms by emailing our legal team with your full name and account email and stating "Arbitration Opt-Out."

12. Governing Law

These Terms and any disputes arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

If the arbitration agreement in Section 11 is found to be unenforceable or if you validly opt out, you agree to submit to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware, for resolution of any disputes.
